Subscriptions Essentials access to the Loop & Tie Platform and use of the Add-On Services requires an annual Subscription. Customer authorizes Loop & Tie to invoice Customer for its initial Subscription period and a recurring annual Subscription Fee at the then-current rate. Customer’s first annual Subscription cycle (“Subscription Cycle”) will be billed immediately. Unless Loop & Tie expressly communicates otherwise in writing or Customer terminates its Subscription prior to the end of the then-current Subscription Cycle, Customer’s Subscription will automatically renew each year and Customer will be billed on the same date each year. Subscriptions cannot be downgraded during the relevant Subscription Cycle, unless otherwise agreed to by Loop & Tie.
Cancellation of Subscription Customer may terminate its Subscription at any time during the Subscription Cycle. Following any cancellation, Customer will continue to have access to its Subscription and all L&T Credits, Add-On Services or features through the end of the current prepaid Subscription Cycle, provided however that if Customer’s Subscription is terminated by Loop & Tie for nonpayment, Customer’s L&T Credits will expire immediately.
L&T Credits L&T Marketplace Credits may be purchased at any time, and expire one year from the date of purchase, unless otherwise indicated above. L&T Credits are not refundable, transferable, or exchangeable. Unused L&T Credits are forfeited upon expiration.
This Agreement, consisting of this Subscription Agreement, any other governing agreement to be mutually agreed to by the parties, the Terms of Service and any documents referenced therein (collectively, this “ Agreement”), is made as of the Effective Date and is entered into between The Next One’s on Me, Inc., d/b/a Loop & Tie” (“ Loop & Tie”) and the Customer listed above. Capitalized terms used but not otherwise defined herein shall have the meaning ascribed to such terms in the applicable governing agreement or the Terms of Service. In the event of a conflict between the Terms of Service and the terms of this Subscription Agreement, this Subscription Agreement shall control.
IN WITNESS WHEREOF, Loop & Tie and Customer have caused their duly authorized representatives to execute/approve this Subscription Agreement as of the Effective Date
